This Electronic Signature Consent and Consent to Do Business Electronically (this “Consent”) applies to your access to and use of the electronic signing, approval, acknowledgment, document delivery, and related workflow features made available by Spenat Labs Inc. (“Spenat Labs,” “we,” “us,” or “our”).
Please read this Consent carefully. By clicking to agree, checking a box, opening a signing or review link, clicking “Continue,” “I Agree,” “Accept,” “Sign,” or any similar button, electronically signing, acknowledging, approving, accessing, or otherwise using an electronic document or workflow made available through our platform, you:
- affirm that you can access and review records in electronic form;
- consent to use electronic records and electronic signatures in connection with the relevant transaction, document, or workflow;
- consent to receive records, notices, disclosures, agreements, audit trails, confirmations, and other communications electronically; and
- agree that your electronic signature, click, or other electronic action is intended to have the same force and effect as your handwritten signature, to the fullest extent permitted by applicable law.
If you do not agree to this Consent, do not proceed electronically. Contact the sender directly to discuss whether a non-electronic alternative is available.
1. Scope of Consent
This Consent applies to your use of electronic records and electronic signatures in connection with any document, package, transaction, disclosure, notice, acknowledgment, approval, consent, certificate, audit trail, reminder, follow-up communication, and related record or workflow presented to you through the Spenat Labs platform, whether you are acting in an individual capacity or on behalf of another person or entity.
This Consent applies to:
- the current transaction, document, or workflow presented to you;
- related records and communications associated with that transaction, document, or workflow;
- any copies, confirmations, completion records, certificates, event histories, audit trails, and related notices provided electronically; and
- any subsequent electronic interactions you undertake through the same signing or review flow, unless applicable law requires a separate consent.
2. Consent to Electronic Records and Electronic Signatures
You agree that:
- electronic records satisfy any requirement that records or communications be provided to you in writing, to the fullest extent permitted by applicable law;
- your electronic signature, click-to-sign action, typed name, drawn signature, checkbox selection, button click, identity-confirmation action, or other electronic act associated with the signing or approval flow constitutes your signature and intent to be bound, where legally effective;
- no certification authority, third-party verification provider, or handwritten signature is required unless the sender or applicable law separately requires it; and
- electronic records may be retained and reproduced by us, the sender, and other authorized participants in electronic form.
3. Hardware and Software Requirements
To access, review, sign, print, and retain electronic records, you must have, at your own expense:
- a device with internet access capable of opening the relevant workflow;
- a current or reasonably current web browser supported by common industry standards;
- a valid email address or other electronic means used to receive the document link or access instructions, if applicable;
- the ability to view PDF files or other standard electronic document formats used in the workflow;
- sufficient storage space or a printer if you wish to retain copies; and
- an operating system and device settings that allow the use of electronic signatures, clicks, buttons, checkboxes, scrolling, and similar interactive features.
By proceeding, you confirm that you have the necessary hardware and software to access and retain the electronic records presented to you.
4. How to Obtain Paper Copies
You may request a paper copy of the specific document or record from the sender directly, if the sender is willing and able to provide one. Spenat Labs is a technology provider only and is generally not the sender, originator, drafter, legal custodian, or records custodian of the document.
Unless Spenat Labs expressly agrees otherwise in writing, Spenat Labs has no obligation to provide paper copies, maintain paper processes, mail records, convert records to paper, or retain records for later retrieval. Any paper copy availability, fees, timing, format, and delivery method are determined by the sender, not by Spenat Labs.
5. Withdrawing Consent
You may withdraw your consent to receive electronic records for the specific transaction before you complete the electronic signing or approval flow by ceasing to use the electronic process and contacting the sender directly.
Once you electronically sign, approve, acknowledge, or otherwise complete the applicable action, your electronic action may already be final, legally effective, and incapable of unilateral withdrawal through the platform.
Withdrawing consent may prevent you from completing the transaction electronically and may delay or prevent the underlying transaction altogether.
Spenat Labs is not responsible for whether the sender offers a paper alternative, allows withdrawal, restarts the process, or honors any request to withdraw after an electronic action has been completed.
6. Updating Contact Information
Spenat Labs may not maintain an account profile or ongoing relationship with you as a signer or recipient. If you need to update your email address, phone number, or other contact information for a particular transaction, you must contact the sender directly unless the workflow specifically allows in-product updates.
7. Requesting Help
For questions about the contents of a document, your legal rights, the transaction itself, deadlines, the sender's identity, or whether you should sign, you must contact the sender or your own legal advisor. Spenat Labs does not provide legal advice or advice about whether you should sign any document.

8. No Legal Advice; No Verification by Spenat Labs
Spenat Labs provides technology only. Spenat Labs does not verify and is not responsible for:
- the identity, authority, capacity, or intent of any sender, signer, reviewer, or recipient;
- the legality, accuracy, completeness, authenticity, enforceability, or suitability of any document or transaction;
- whether a particular document or transaction may legally be signed electronically in any jurisdiction;
- whether any disclosure satisfies applicable consumer-protection or other legal requirements; or
- whether any electronic signature or record will be accepted by any court, regulator, employer, bank, title company, counterparty, or other third party.
You are solely responsible for reviewing the document and deciding whether to proceed.
9. Copies and Retention
You should download, print, or otherwise retain copies of any records you wish to keep before completing the workflow or closing your browser session. Availability of completed documents, audit trails, certificates, and related records may depend on the sender's settings, retention preferences, subscription status, and our own storage practices.
Spenat Labs may store, delete, or make unavailable records at any time in its discretion and has no obligation to retain any record for any minimum period unless required by applicable law or expressly agreed in writing.
10. Consent Covers Electronic Communications
You consent to receive electronically, to the fullest extent permitted by law, all records and communications associated with the transaction or workflow, including:
- document packages;
- notices and disclosures;
- requests for signature, acknowledgment, approval, or review;
- reminders and status updates;
- completion confirmations;
- audit trails, certificates, event histories, and related technical records; and
- other communications relating to the transaction.
11. International Use
If you access or sign from outside the United States, you acknowledge that local laws may differ and that the sender, not Spenat Labs, is responsible for determining whether the electronic process is appropriate, valid, and compliant for the relevant jurisdiction and transaction.
12. California and Federal Electronic Transactions Framework
To the fullest extent permitted by applicable law, the parties intend to conduct transactions by electronic means. Electronic records and electronic signatures should not be denied legal effect solely because they are in electronic form, subject to applicable legal requirements, exclusions, and limitations.
13. Changes to This Consent
We may update this Consent from time to time. The version presented to you at the time of your electronic interaction will govern that interaction unless applicable law requires otherwise.
